Terms of Service

Welcome to NutriChat. These Terms of Service (“Terms”) govern your access to and use of the NutriChat mobile application, website, and related services (collectively, the “Services”), operated by NutriChat (“NutriChat,” “we,” “us,” or “our”).

By creating an account, downloading the app, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use NutriChat.

By using the Services, you represent and warrant that:

• you are legally able to enter into these Terms;
• the information you provide is accurate and current;
• you will use the Services only in compliance with applicable law.

2. The Service We Provide

NutriChat is an AI-powered nutrition and calorie tracking service that may allow you to:

• log meals, drinks, snacks, supplements, and exercise;
• estimate calories, macros, and nutrition information;
• upload text, photos, or other content for analysis;
• track goals, habits, weight, or related wellness data;
• receive summaries, insights, and general wellness guidance.

NutriChat is intended to support general wellness and informational use only. The Services are not a medical device, not a healthcare provider, and not a substitute for professional medical advice, diagnosis, or treatment.

3. Medical and Nutrition Disclaimer

NutriChat does not provide medical advice.

Any calorie estimates, nutrition values, meal analysis, exercise analysis, health summaries, suggestions, or AI-generated responses are for general informational purposes only. They may be incomplete, inaccurate, or inappropriate for your specific situation.

You should not rely on NutriChat for medical decisions, diagnosis, treatment, emergency care, allergy safety, eating disorder management, pregnancy-related nutrition decisions, or any condition requiring licensed professional judgment.

Always seek the advice of a qualified physician, registered dietitian, or other licensed healthcare professional regarding any medical or dietary concerns. If you believe you are having a medical emergency, contact emergency services immediately.

4. No Guarantee of Accuracy

Food labels, restaurant information, barcode results, user-entered items, third-party data sources, AI outputs, and image-based meal recognition can all contain errors. Nutrition values and calorie estimates are approximate and may vary based on portion size, ingredients, preparation method, brand differences, and data-source limitations.

You acknowledge that:

• the Services may not identify every ingredient or allergen;
• exercise and calorie-burn estimates may be rough estimates only;
• meal-photo analysis may be incorrect;
• outputs should be reviewed using your own judgment.

5. Your Account

You may need to create an account to use some or all features of NutriChat. You agree to:

• provide accurate and complete registration information;
• keep your login credentials confidential;
• promptly update your information if it changes;
• accept responsibility for activity that occurs under your account.

You may not share your account or impersonate another person. If you believe your account has been accessed without authorization, contact us immediately.

6. Acceptable Use

You agree not to:

• use NutriChat for unlawful, harmful, fraudulent, or misleading purposes;
• upload content you do not have the right to use;
• probe, scan, scrape, reverse engineer, or interfere with the Services;
• attempt to access non-public areas, systems, or data;
• use automated means to extract data or build competing datasets or models;
• upload malware, spam, or abusive material;
• use the Services in a way that could harm other users or NutriChat;
• misrepresent NutriChat outputs as professional medical advice.

You may use NutriChat only for your personal, non-commercial use unless we expressly agree otherwise in writing.

7. User Content

You may submit or upload content to the Services, including meal photos, text entries, nutrition logs, exercise logs, profile information, feedback, and other materials (“User Content”).

You retain ownership of your User Content. However, by submitting User Content to NutriChat, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, analyze, process, display, and use that User Content as necessary to:

• operate and provide the Services;
• improve product functionality and user experience;
• generate analyses, summaries, and insights;
• maintain safety, security, and integrity;
• comply with legal obligations;
• enforce these Terms.

You represent and warrant that:

• you own or control all rights needed to submit the User Content;
• your User Content does not violate law or third-party rights;
• your User Content is not knowingly false or misleading in a way that could cause harm.

8. AI Features

NutriChat may use AI and machine learning systems to generate responses, estimate nutrition information, recognize foods from images, summarize habits, or provide suggestions.

You understand and agree that:

• AI outputs are generated automatically and may contain mistakes;
• outputs may not be unique;
• NutriChat does not guarantee that outputs are complete, accurate, or suitable for any specific purpose;
• you are responsible for reviewing outputs before relying on them.

We may use service providers and models from third parties to power some features.

9. Subscriptions, Trials, and Billing

Some NutriChat features may require a paid subscription (“Premium”). If you purchase a subscription through Apple App Store, Google Play, or another platform, your purchase is subject to that platform’s billing terms in addition to these Terms.

By starting a paid subscription, you agree that:

• you authorize the applicable platform to charge the recurring subscription fee, taxes, and any other disclosed charges;
• your subscription automatically renews unless canceled before the end of the current billing period;
• pricing, billing cycles, and included features will be shown before purchase;
• free trials, introductory offers, and promotional pricing may convert into paid subscriptions unless canceled in time.

Unless required by law, payments are non-refundable once charged. You can manage or cancel your subscription through the platform where you purchased it.

10. Changes to Pricing and Features

We may change our prices, subscription plans, features, or feature availability from time to time. We may also add, remove, suspend, or modify portions of the Services, including AI features, integrations, or logging tools.

If required by law or platform rules, we will provide notice before material pricing changes take effect.

11. Third-Party Services and Integrations

NutriChat may link to or integrate with third-party services, such as sign-in providers, analytics providers, wearable platforms, health-data platforms, barcode databases, or subscription/payment processors.

We do not control third-party services and are not responsible for their content, terms, privacy practices, availability, or actions. Your use of third-party services may be governed by separate terms and privacy policies.

12. Intellectual Property

NutriChat and its Services, including our software, interface, design, branding, text, graphics, compilations, databases, and other content other than your User Content, are owned by us or our licensors and are protected by applicable intellectual property laws.

Except as expressly permitted in these Terms, you may not:

• copy, reproduce, distribute, sell, license, lease, or exploit any part of the Services;
• modify, decompile, disassemble, reverse engineer, or create derivative works from the Services;
• use our name, logo, trademarks, or branding without prior written permission.

13. Feedback

If you send us feedback, suggestions, ideas, or recommendations, you agree that we may use them without restriction or compensation to you.

14. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if:

• you violate these Terms;
• your use creates risk, legal exposure, or security issues for us or others;
• we suspect fraud, abuse, or unlawful activity;
• we are required to do so by law;
• we discontinue the Services or a portion of them.

You may stop using the Services at any time. Termination does not affect provisions that by their nature should survive termination, including ownership, disclaimers, liability limitations, dispute provisions, and payment obligations.

16. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” NutriChat disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not warrant that:

• the Services will be uninterrupted, error-free, or secure;
• any nutrition estimate, recommendation, or output will be accurate;
• defects will be corrected;
• the Services will meet your expectations or achieve any health or fitness result.

17. Limitation of Liability

To the fullest extent permitted by law, NutriChat and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or related to your use of, or inability to use, the Services.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:

• the amount you paid to NutriChat for the Services in the 12 months before the event giving rise to the claim; or
• US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless NutriChat and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use or misuse of the Services;
• your User Content;
• your violation of these Terms;
• your violation of any law or third-party rights.

19. Dispute Resolution; Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting us at legal@nutrichat.uk.

If the dispute cannot be resolved informally within 30 days, the dispute will be submitted to the exclusive jurisdiction of the courts of England and Wales, unless mandatory law in your country of residence requires otherwise.

20. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, except where mandatory consumer protection laws require otherwise.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms in the app or on our website, updating the “Last Updated” date, or by other reasonable means.

Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

22. Apple App Store and Google Play Terms

If you download NutriChat from the Apple App Store or Google Play, you acknowledge that:

• these Terms are between you and NutriChat, not with Apple or Google;
• Apple and Google are not responsible for the Services or their maintenance and support;
• Apple and Google are third-party beneficiaries of these Terms to the extent required by their platform rules.

Platform-specific rights and restrictions required by Apple and Google are incorporated by reference into these Terms where applicable.

24. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and NutriChat regarding the Services and supersede prior understandings relating to the Services.

25. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision or any other right.
